Invitation to Serve on the Human Resources and Remuneration Committee (HR & REMCO) of the Independent Communications Authority of South Africa: Three (3) Position

The Independent Communications Authority of South Africa (ICASA) is a Chapter 9 institution established under section 192 of the Constitution of the Republic of South Africa. Our mission is to support and promote democracy by regulating the electronic communications, broadcasting, and postal sectors in the public interest. We are now inviting qualified individuals to join the ICASA Human Resources and Remuneration Committee (HR & REMCO).

ICASA invites applications from suitably qualified and experienced persons to support this important mission by serving on its prestigious Human Resources and Remuneration Committee (HR & REMCO) for three (3) years.

The HR & REMCO is a governance committee for ICASA with responsibilities delegated to it by the ICASA Council. The role of which is to provide strategic advice, and guidance in respect of matters relating to human resources and remuneration, this includes the following:

·         Annual review of ICASA’s reward philosophy, reward strategy and policies. 

·         Review employment and termination agreements for members of the executive team including the Chief Executive Officer. 

·         Periodically review and annually recommend to Council, Management’s succession plans including the appropriateness of the organisational structure.  

·         Review reports on the climate and morale within ICASA. 

·         Review the Human Resources Division’s delivery on the strategy and business plan. 

·         Annually consider the status of in-house pension funds, provident funds, medical aid, deferred compensation and other similar schemes. 

·         Monitor and review ICASA’s compliance with good corporate governance with regard to Human Resources and Remuneration matters. 

·         Oversee the preparation of the remuneration report and recommend it to Council for inclusion in the integrated report, and determine whether the report is accurate,                                complete and transparent. 


Requirements: ● A Postgraduate degree in Human Resources or similar fields. ● An active registration with a professional body (i.e. registration in good standing). ● Five years or more working experience at a senior management level in remuneration and human resources.  ● Experience with practices and best practice methods in remuneration and human resources determination. ● Experience working at executive level. ● Experience in negotiating reward packages for senior management. ●  Knowledge of best practice methods in remuneration and human resources trends, in both the private and public sector. ● Previous experience serving as a member of a Steering or Governance Committee in the field of remuneration and human resources will be an added advantage. 

Term of Office: The successful candidates will serve as part-time members of the HR & REMCO for three (3) years.

Successful candidates will be subject to the HR & REMCO Terms of Reference and other terms and conditions as prescribed by law and the Council of the Authority.  As per Treasury Regulation 20 under Government Notice No. R. 225, published in Government Gazette No. 27388 of 15 March 2005, persons employed by state organs or those serving on such Commissions and Committees of Inquiry will not be entitled to additional remuneration or fees payable for partaking in the work of the HR & REMCO. However, this is a unique opportunity to contribute to the governance of ICASA, to gain valuable experience in the ICT sector, and to network with other industry professionals.

 

Disqualification in terms of section 6 (1) (d) to (l) of the ICASA Act No. 13 of 2000 (as amended) is applicable:

A person may not be appointed if they:

·         are a member of Parliament, any provincial legislature or any municipal council;

·         are an office bearer or employee of any party, movement or organisation of a party-political nature;

·         or any immediate family member has a direct or indirect financial interest in the electronic communications, postal or broadcasting industry;

·         or their business partner or associate holds an office in or with, or is employed by, any person or body, whether corporate or unincorporated, which has an interest contemplated ​above;

·         are an unrehabilitated insolvent;

·         have been declared by a court to be mentally ill or disordered;

·         have at any time been convicted, whether in the Republic or elsewhere and have been sentenced, after the commencement of the Constitution of the Republic of South Africa, ​                1993 (Act No. 200 of 1993), to a period of imprisonment of not less than one year without the option of a fine; or

·         have at any time been removed from an office of trust due to misconduct.
